Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the iMedicate mobile applications, websites, clinic dashboard, and related services (collectively, the “Services”) provided by iMedicate (“iMedicate,” “we,” “us,” or “our”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Who May Use the Services
You must be at least 13 years old (or older if required by your country) and capable of forming a binding contract to use the Services. If you use the Services on behalf of an organization (e.g., a clinic), you represent that you have authority to bind that organization.
2) Not Medical Advice; Emergency Use
iMedicate is not a healthcare provider and the Services do not provide medical advice, diagnosis, or treatment. The Services may help you track medications and send reminders/alerts, but they do not substitute for professional medical judgment. Always follow your provider’s instructions. In an emergency, call your local emergency number immediately.
3) Accounts & Security
You are responsible for your account, including maintaining the confidentiality of your login credentials and for all activities under your account. Notify us promptly of any unauthorized use.
4) License to Use the Services
Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, revocable license to install and use our apps and access the Services for your personal or internal business use. We reserve all rights not expressly granted.
5) Acceptable Use
You agree not to:
Reverse engineer, decompile, or attempt to derive source code from the Services;
Interfere with or disrupt the Services, or circumvent security;
Use the Services in violation of law, including privacy, consumer-health-data, or export laws;
Upload harmful code or content you do not have rights to share;
Misrepresent your identity or affiliation.
6) User Content
You may submit content (e.g., medication names, notes, images for OCR, clinic codes). You retain rights to your content; you grant iMedicate a worldwide, nonexclusive, royalty-free license to host, process, analyze, and display your content solely to operate, improve, and provide the Services. You are responsible for your content and for obtaining any consents needed to share it.
7) Clinics, HIPAA & BAAs
iMedicate is generally a consumer app and not a HIPAA “covered entity” or “business associate.” If a clinic participates in a pilot with us, we may sign a Business Associate Agreement (BAA) and handle protected health information (PHI) per HIPAA and the BAA. Outside of a BAA context, HIPAA typically does not apply to your consumer use of iMedicate.
8) Features & Integrations
OCR & RxNorm. The Services may extract text from images (e.g., partial/truncated drug names) and query RxNorm to suggest standardized names/dosages. Recognition results can be imperfect; confirm all suggestions with labels and your provider.
Notifications & Text-to-Speech (TTS). You can enable reminders and TTS. Functionality may vary by device and OS settings.
Clinic Dashboard. If you join a clinic via code/invite, authorized clinic staff may view adherence summaries and related metadata you consent to share.
9) SMS/Text Messaging Terms
If you enable emergency SMS alerts or other text messages:
You authorize us (or our SMS provider) to send texts to your provided numbers.
Message frequency varies (e.g., daily reminders, missed-dose alerts).
Your emergency contact must opt in before receiving alerts and may opt out at any time (reply STOP). Reply HELP for help.
Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
Keep phone numbers accurate; disable texts if you no longer wish to receive them.
10) Third-Party Services
The Services may link to or integrate with third-party services (e.g., RxNorm, SMS gateways, analytics). We are not responsible for third-party terms or content. Your use of third-party services is at your risk and subject to their policies.
11) App Store & Platform Terms
If you downloaded our app from the Apple App Store or Google Play, their terms also apply. To the extent those terms conflict with these Terms, the platform terms may control for the affected feature. Apple and Google are not responsible for maintenance or support of the app.
12) Fees & Subscriptions
At this time, iMedicate is available without a paid subscription. We may introduce paid features later with advance notice and updated terms. Purchases via the App Store/Google Play are subject to their billing and refund policies.
13) Intellectual Property
The Services (including software, designs, logos, and trademarks such as iMedicate and our pill mascot) are owned by us and protected by IP laws. Nothing in these Terms transfers any ownership rights to you.
14) Feedback
If you send ideas or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
15) Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share information, including consumer health data where applicable by law.
16) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, ACCURATE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.
17) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, iMEDICATE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.
Some jurisdictions do not allow certain limitations; some limitations may not apply to you.
18) Indemnification
You will indemnify and hold harmless iMedicate and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your content, your use of the Services, or your violation of these Terms or applicable law.
19) Termination
You may stop using the Services at any time. We may suspend or terminate your access if we believe you violated these Terms or pose a risk to other users or the Services. Upon termination, sections intended to survive (e.g., IP, disclaimers, limits of liability, arbitration) will survive.
20) Changes to the Services or Terms
We may modify the Services or these Terms. If we make material changes, we’ll post the updated Terms and update the “Last updated” date. Your continued use after changes means you accept the updated Terms.
21) Governing Law; Arbitration; Class-Action Waiver
Governing Law. These Terms are governed by the laws of the State of New York and the United States, without regard to conflict-of-laws rules.
Arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration under the Federal Arbitration Act, administered by JAMS (or, if unavailable, the AAA) under its applicable rules. Judgment on the award may be entered in any court with jurisdiction.
Opt-Out. You may opt out of arbitration by emailing imedicateapp@gmail.com within 30 days of first accepting these Terms with the subject line “Arbitration Opt-Out.”
No Class Actions. You and iMedicate agree that each may bring claims only in an individual capacity, not as a plaintiff or class member in any purported class or representative proceeding, and the arbitrator may not consolidate claims.
Exceptions. Either party may bring an individual action in small-claims court or seek injunctive relief for misuse of IP or unauthorized access to the Services in a court of competent jurisdiction.
22) Export & Compliance
You may not use, export, or re-export the Services except as authorized by United States law and the laws of the jurisdiction in which the Services were obtained.
